Terms of Service

These terms define the baseline rules for accessing and using Ceptory's enterprise video intelligence platform, websites, APIs, and related services.

1. Agreement and Scope

These Terms of Service govern access to and use of Ceptory's websites, hosted applications, APIs, demos, and related enterprise video intelligence services.

By accessing or using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Accounts and Access

You must provide accurate registration information, maintain the security of your credentials, and promptly notify Ceptory of any unauthorized account activity.

Credential-based accounts may require email verification before access is granted. Ceptory may suspend or restrict access where necessary to protect platform integrity, customer data, or compliance obligations.

3. Acceptable Use

You may use the service only in compliance with applicable laws, contractual obligations, and internal governance policies relevant to your organization and the media you process.

You may not use Ceptory to violate privacy rights, process content without appropriate authorization, interfere with service operations, reverse engineer restricted components, or attempt unauthorized access to any account, system, or dataset.

4. Customer Data and Responsibility

As between the parties, you retain responsibility for the video, metadata, prompts, transcripts, outputs, and other content submitted to the service. You are responsible for ensuring that you have all necessary rights and permissions to provide that content.

Ceptory may process customer data solely to provide, secure, maintain, and improve the service in accordance with customer instructions, applicable law, and any separate commercial agreement in place with the customer.

5. Service Availability and Changes

Ceptory may modify, update, or discontinue portions of the service from time to time. We will use reasonable efforts to avoid material disruption to production customers.

Beta, preview, or evaluation features may be offered as-is, may change without notice, and may be subject to additional restrictions or limited support.

6. Intellectual Property

Ceptory and its licensors retain all rights, title, and interest in the service, including software, models, documentation, visual design, trademarks, and related intellectual property, except for rights expressly granted to you under these terms or a separate written agreement.

No license is granted to copy, distribute, modify, or create derivative works from the service except as expressly permitted by law or by Ceptory in writing.

7. Fees, Trials, and Evaluation Access

Paid access, pilot engagements, and enterprise deployments may be governed by a separate order form, statement of work, or master services agreement. In the event of conflict, the signed commercial agreement controls.

Free trials, demos, or sandbox access may be limited in scope, duration, or functionality and may be revoked at any time.

8. Confidentiality

Each party may receive non-public information from the other party that should reasonably be understood as confidential. The receiving party will protect that information using reasonable safeguards and will use it only for the purpose of the business relationship between the parties.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, or lawfully received from a third party without confidentiality obligations.

9. Disclaimers and Liability Limits

Except as expressly stated in a written agreement, the service is provided on an as-available and as-is basis. Ceptory disclaims implied warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Ceptory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Aggregate liability arising out of these terms will not exceed the amounts paid to Ceptory for the service during the twelve months preceding the event giving rise to the claim, unless a separate written agreement provides otherwise.

10. Termination

You may stop using the service at any time. Ceptory may suspend or terminate access if you materially breach these terms, create security risk, fail to pay applicable fees, or where continued access would create legal or compliance exposure.

Sections that by their nature should survive termination, including those concerning confidentiality, intellectual property, disclaimers, liability limits, and dispute-related provisions, will survive termination.
